Abstract
In response to the worldwide financial crisis, enhancing supervision towards corporate management has become an important issue in almost every major jurisdiction. Under this kind of circumstance, a comparative research on supervisory role of the boards played in the EU, selected European states and China is therefore critical both for academia and corporate practices.
In this thesis, the biggest research question that the writer is trying to answer is: “Has supervisory role of the boards achieved its goals in selected jurisdictions, if not, what has gone wrong and how to fix it?
Based upon general description of background of this topic, the writer intends to explore it by covering following major research areas: 1. Board structure and supervisory role of the boards in Europe and China; 2. Effectiveness of supervisory role of the boards in terms of legal compliance; 3. Effectiveness of supervisory role of the boards in risk management. When analyzing risk management issue, the writer would not only cover the field of financial risk management, but also environmental risk management.
